1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and NeuralScope ("we", "us", "our"), a business operating in the Province of Ontario, Canada (Business Number: 874291638ON0001), governing your access to and use of the website located at neuralscope.life (the "Website"), the NeuralScope AI observability platform (the "Platform"), our training programmes, professional services, and any related offerings (collectively, the "Services").

By accessing the Website or using any Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Services

NeuralScope provides an AI observability platform and related engineering services for production machine learning systems. Our Services include monitoring infrastructure, drift detection, distributed tracing, audit logging, alerting, governance tooling, training programmes (NSC-101 through NSC-601), and professional consultancy including architecture reviews, telemetry integration, and managed drift operations.

NeuralScope is not a marketing agency, advertising firm, or creative services provider. Services are directed exclusively at technical and business professionals responsible for production AI systems.

3. Website Use

You may use the Website for lawful purposes only. You agree not to:

• Use the Website in any way that violates applicable federal, provincial, or local laws
• Attempt to gain unauthorised access to our systems, networks, or data
• Transmit malware, spam, or other harmful code through the Website or contact form
• Scrape, crawl, or harvest data from the Website without our written consent
• Impersonate NeuralScope personnel or misrepresent your affiliation with us
• Interfere with the proper functioning of the Website or its security features

We reserve the right to suspend or terminate access to the Website for conduct that violates these Terms or is otherwise harmful to NeuralScope or other users.

4. Platform Access and Service Agreements

Access to the NeuralScope Platform and engagement of professional services require separate written agreements specifying scope, pricing, service levels, data processing terms, and duration. In the event of conflict between these Terms and a signed service agreement, the service agreement prevails for the matters it addresses.

Platform access credentials are personal and non-transferable unless otherwise agreed in writing. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

5. Intellectual Property

All content on the Website — including text, graphics, logos, software, documentation, programme materials, and design elements — is the property of NeuralScope or its licensors and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

Client data and telemetry processed through the Platform remain the property of the client. NeuralScope retains ownership of the Platform, its underlying technology, collector software, dashboard templates, and general methodologies. Deliverables created during professional services engagements are governed by the applicable service agreement.

6. Programme Terms

Training programme enrolment is subject to these Terms and any programme-specific materials provided at registration. Programme fees are quoted in Canadian dollars and are due as specified in the enrolment confirmation. Cancellation policies are as follows:

• Cancellation more than 14 days before programme start: full refund minus a C$150 administration fee
• Cancellation 7–14 days before start: 50% refund
• Cancellation fewer than 7 days before start: no refund; transfer to a future cohort may be offered at our discretion

We reserve the right to cancel or reschedule programmes due to insufficient enrolment or unforeseen circumstances, with a full refund or transfer option provided.

7. Professional Services

Professional services engagements are governed by written proposals and statements of work. Unless otherwise specified, invoices are due within 30 days of receipt. Late payments may incur interest at 1.5% per month or the maximum rate permitted by Ontario law, whichever is lower.

Client cooperation is required for timely delivery. Delays caused by client unavailability, incomplete information, or scope changes may result in timeline adjustments and additional fees as agreed in writing.

8. Warranties and Disclaimers

NeuralScope provides Services with reasonable skill and care consistent with industry standards for AI observability platforms. However, the Website and Platform are provided "as is" and "as available" to the fullest extent permitted by law. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will detect all instances of model drift, prevent all service disruptions, or operate without interruption. Observability tooling reduces risk but cannot eliminate it. Performance metrics cited on our Website represent typical results and may vary based on deployment configuration, data volume, and environmental factors.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NeuralScope and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claims arising under or related to these Terms or the Services shall not exceed the greater of (a) the amounts paid by you to NeuralScope in the twelve months preceding the claim, or (b) C$5,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless NeuralScope and its personnel from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, infringement of third-party rights, or misuse of the Platform.

11. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information under PIPEDA. By using the Services, you consent to our data practices as described in that policy.

12. Third-Party Links and Integrations

The Website may contain links to third-party websites or reference integrations with third-party tools (such as OpenTelemetry, Prometheus, or Grafana). We are not responsible for the content, privacy practices, or availability of third-party sites or services. Your use of third-party integrations is subject to their respective terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

14. Force Majeure

NeuralScope shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, power failures, internet disruptions, or third-party service outages.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreements, constitute the entire agreement between you and NeuralScope regarding the Services and supersede all prior agreements and understandings.

17. Changes to Terms

We may modify these Terms at any time by posting the updated version on the Website with a revised "Last updated" date. Material changes to Terms governing active service agreements will be communicated directly to affected clients. Continued use of the Website after changes constitutes acceptance of the modified Terms.
